1. Acceptance of Terms

By accessing or using Prompt Toaster (the "Service"), operated by Prompt Toaster, Inc. ("we", "us", "our"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Service Description

Prompt Toaster is a B2B voice and chat observability platform. It monitors live conversations, evaluates agent quality and reliability, connects failures to prompts, models, tools, and traces, and may run tests or suggest prompt improvements according to your configuration.

3. Accounts

You must create an account to use certain features of the Service. You are responsible for maintaining the security of your account credentials and for all activity under your account.

You must provide accurate information when creating your account and keep it up to date. We reserve the right to suspend or terminate accounts that violate these terms.

4. User Responsibilities

You agree to:

• Use the Service in compliance with all applicable laws
• Not send malicious, harmful, or illegal data through the Service
• Not attempt to gain unauthorized access to the Service or its systems
• Not interfere with or disrupt the Service's infrastructure
• Not reverse-engineer, decompile, or disassemble the cloud Service (the open-source codebase is governed by its license)

5. Data Ownership

You retain full ownership of the Customer Data, including conversation transcripts, recordings, evaluations, prompts, agent responses, traces, logs, metrics, and other data you send to the Service. We do not claim intellectual property rights over your data.

We process Customer Data to provide, secure, support, and improve the Service, including monitoring conversations, detecting failures, generating evaluation results, and testing prompt changes. We do not sell Customer Data or use it to advertise to your users.

6. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access to the Service. We may perform maintenance, updates, or modifications that temporarily affect availability. We will provide reasonable notice when possible.

7. Payment and Billing

Paid plans are billed according to the pricing published on our website. Usage beyond your plan's included allowance will be billed at the stated overage rates. You are responsible for paying all fees associated with your account.

8. Limitation of Liability

To the maximum extent permitted by law, Prompt Toaster, Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the Service. Our total liability shall not exceed the amount you paid us in the twelve months preceding the claim.

9. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

10. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you violate these terms or engage in conduct that is harmful to the Service or other users.

Upon termination, your right to use the Service ceases immediately. We will retain your data for a reasonable period to allow you to export it, after which it will be deleted.

11. Source Availability

These Terms apply to the cloud-hosted Prompt Toaster Service operated by Prompt Toaster, Inc. Any third-party or separately licensed software made available with the Service remains subject to its applicable license terms.

12. Changes to Terms

We may update these Terms of Service from time to time. Continued use of the Service after changes are posted constitutes acceptance of the updated terms. We will notify you of significant changes via email or a notice on the Service.

13. Governing Law

These Terms are governed by the laws of Ontario and the applicable federal laws of Canada, without regard to conflict-of-law principles. Nothing in these Terms limits rights or protections that apply under the laws of the United States, including applicable federal and state laws, when those laws apply to you, your data, or your use of the Service. Prompt Toaster will comply with applicable privacy, consumer-protection, data-security, accessibility, and electronic-communications laws in the jurisdictions where it operates or provides the Service. Any dispute arising from these Terms or your use of the Service will be handled in accordance with applicable law.
